Abstract

The transformation of trade from conventional methods to digital systems through e-commerce platforms such as Shopee and Lazada has created a new paradigm in interactions between sellers and buyers. However, this progress is accompanied by the issue of unequal legal standing, where business actors (sellers) are often in a weak bargaining position and are obliged to comply with unilateral agreements (terms and conditions) drawn up unilaterally by the platform organizers. This study focuses on the legal issues arising from the return policy for goods due to "change of mind" implemented by Shopee since 2024 and Lazada since 2025. This study aims to analyze the legal relationship between parties in e-commerce transactions and the form of legal protection for business actors against unilateral agreements to return non-defective goods. The method used is normative juridical with a statutory and conceptual approach. The results of the study indicate a lack of norms that specifically regulate the limits of the return of non-defective goods, leaving business actors vulnerable to financial losses due to unilateral e-commerce policies.
