Abstract

Limited business space is a challenge for MSMEs in Surabaya. The use of supermarket parking areas in Wonocolo District as business locations raises legal issues regarding land use and licensing under Surabaya Mayor Regulation Number 116 of 2023. Lease agreements made without legal compliance create uncertainty, especially due to unilateral contract termination by supermarkets. This study aims to analyze legal protection and legal consequences. Using a normative juridical method, the results show that agreement validity depends on Article 1320 of the Civil Code and regulatory compliance, while protection can be pursued through breach of contract mechanisms.
