Abstract

This study aims to analyze the validity of a sales and purchase agreement (PPJB) in the pre-project stage and the legal consequences of a developer's unilateral cancellation of an apartment development, including legal protection for buyers. At the pre-project stage, apartment sales and purchase transactions are still preliminary agreements, which creates legal uncertainty regarding ownership. The study uses a normative juridical method with a statutory regulatory approach, case studies, and a conceptual approach. The results indicate that the validity of a PPJB refers to the valid conditions of an agreement according to Article 1320 of the Civil Code. Unilateral cancellation by a developer harms buyers who previously owned rights to the apartment unit. Although there are legal protections, both preventive and repressive, their implementation is ineffective due to a lack of good faith and transparency on the part of the developer. Conflicting court decisions between the first and appellate levels demonstrate the tension between substantive and procedural justice, ultimately weakening legal certainty for consumers. In this situation, public pressure can be an alternative to hold developers accountable.
