Abstract
The development of business law in Indonesia has driven the widespread use of corporate guarantees as a security instrument in debt relationships between affiliated entities; however, the absence of explicit regulations on the legal standing of guarantors in bankruptcy law creates legal uncertainty when corporate guarantees are used as a basis for bankruptcy petitions. This study is a normative legal research employing a statute approach, conceptual approach and a case approach. Data collection was conducted through library research on primary, secondary, and tertiary legal materials. The findings reveal that a guarantor under a corporate guarantee holds an accessoir and subsidair position and therefore cannot automatically be declared bankrupt alongside the primary debtor; however, the commercial court in Decision Number 51/Pdt.Sus-Pailit/2025/PN Niaga Jkt.Pst. tended to equate the guarantor's position with that of the primary debtor when the guarantor waives its privileges under Article 1832 of the Indonesian Civil Code, potentially violating the principle of separate legal entity. The guarantor may pursue cassation or judicial review as legal remedies, though their practical effectiveness remains limited. It is concluded that amendments to the Bankruptcy and PKPU Law are necessary to establish clear regulations on the limits of corporate guarantor liability, ensuring legal certainty and justice for all parties involved.
