Abstract

This study examines the legal standing of a Limited Liability Company (PT) director who acts simultaneously as debtor and personal guarantor (borgtocht) by pledging personal assets to secure the company's debt obligations, with reference to Putusan No. 297/Pdt.G/2025/PN.Sby. This study applies a doctrinal legal framework supported by legislative, theoretical, and case-based analyses. The findings indicate that: first, a director of a PT may legally serve as both debtor and personal guarantor (borgtocht) over the company's debt, provided the procedure complies with applicable law, including an Extraordinary General Meeting of Shareholders (RUPS Luar Biasa) pursuant to Articles 78-79 of Law No. 40 of 2007 on Limited Liability Companies and the registration of the mortgage right under Law No. 4 of 1996 on Mortgage Rights; second, the loan agreement and the personal guarantee by the director are legally enforceable pursuant to Article 1320 of the Civil Code because the agreement fulfills consent, competence, definite subject matter, and lawful cause, have been met, and the validity is further reinforced by a notarial deed and the RUPS Luar Biasa resolution.
