Abstract

The lack of legal studies specifically examining the civil liability of intermediaries in oral power of attorney agreements for the sale and purchase of aquaculture products creates legal uncertainty for the parties in the event of a dispute. This study is a normative juridical study using statutory and conceptual approaches. The results indicate that intermediaries who receive an oral delegation of authority are legally entitled to the position of power of attorney (lasthebber) under Article 1792 in conjunction with Article 1793 of the Civil Code, with the obligation to exercise the power of attorney in good faith, report, submit all sales proceeds, and not exceed their authority. Intermediaries who withhold sales proceeds can be held accountable through a lawsuit for breach of contract under Article 1243 or an unlawful act under Article 1365 of the Civil Code. The recommended dispute resolution process is hierarchical, involving summons, mediation, and even civil suit in the District Court as a last resort.
