Abstract
PT Semen Indonesia (Persero) Tbk (“SMGR”) was established in 1957 in Gresik, under the name NV Semen Gresik. In 1991, PT Semen Gresik was the first state-owned company to go public on the Indonesia Stock Exchange. Where the installed capacity at that time was around 250,000 tons of cement per year. Then on April 17, 1961 the status of the Semen Gresik Factory changed to PN and on October 24, 1969 the status changed again to PT (Persero). On September 15, 1995 PT Semen Gresik consolidated with PT Semen Padang and PT Semen Tonasa. The Company's total installed capacity at that time was 8.5 million tons of cement per year. For production development at the Factory Tuban, on April 17, 1997 and March 20, 1998, the Tuban II and Tuban III factories were inaugurated with a capacity of 2.3 million tons of cement per year respectively. In April 2012, the Company successfully completed the construction of the Tuban IV factory with a capacity of 2.5 million tons. After undergoing the commissioning period, in July 2012 the new factory was handed over, followed by inauguration of commercial operations in October 2012. On December 20, 2012 the Company officially acted as a Strategic Holding Company and at the same time changed its name, from PT. Semen Gresik (Persero) Tbk became PT. Semen Indonesia (Persero) Tbk. On December 18, 2012, the Company officially took over 70% share ownership of Than Long Cement Joint Stock Company (TLCC) from Hanoi General Export-Import Joint Stock Company (Geleximco) in Vietnam, with a capacity of 2.3 million tons. This corporate action made the Company listed as the first Multinational BUMN in Indonesia. On January 31, 2019, PT Semen Indonesia (Persero) Tbk through its subsidiary PT Semen Indonesia Industri Bangunan (SIIB) has officially acquired 80.6% share ownership in Holderfin B.V. placed and paid up at PT Holcim Indonesia Tbk. Furthermore, on February 11, 2019, through the mechanism of the Extraordinary General Meeting of Shareholders, the name change of PT Holcim Indonesia Tbk was ratified to become PT Solusi Bangun Indonesia Tbk. With the principle of “Building the Strength of Advancing Indonesia” Semen Indonesia continues to improve synergies and innovations in order to achieve quality excellence, maintain the integrity and sustainability of economic performance, be committed to the environment and provide social benefits in all operational activities.
